Self-Serve Subscription Terms

Last updated: October 12, 2026

These Subscription Terms are an agreement between Redbird Software Incorporated ("Redbird", "we", "us") and the organization on whose behalf you sign up for a Starter or Pro plan ("Customer", "you"). They govern your organization's use of the Redbird platform and services (the "Platform"). By creating an organization, paying for a plan, accepting an invitation to an organization, or using the Platform, you agree to these Subscription Terms, the Redbird Privacy Policy (https://www.redbird.io/privacy/) and the Redbird Refund Policy (https://www.redbird.io/refund-policy/). The Redbird website Terms of Use (https://www.redbird.io/terms/) continue to govern your use of our public websites.

If you are accepting on behalf of a company or other legal entity, you confirm that you have authority to bind it. The Platform is offered to businesses and professional users only; it is not for personal, family or household use.

1 Organizations, members and admins

Each sign-up creates an organization. The person who signs up is its first admin. Admins manage members, roles, billing, usage limits and settings. Members use the Platform under the organization's plan. The organization is responsible for the acts of its admins and members and for keeping account credentials secure. Each member must use their own login; sharing logins is not permitted. You will tell us promptly at support@redbird.io if you suspect unauthorized use.

2 Plans and seats

Starter and Pro plans are sold per seat. A seat is one member of the organization. Adding a member adds a seat and is charged immediately for the remainder of the current billing period on a prorated basis. Removing a member reduces the seat count from the next billing period; no refund is given for the remainder of the current period. Plans are described at https://www.redbird.io/get-started/; what each plan includes may change as described in section 12.

3 Fees, billing and renewal

Plan fees are charged in advance, monthly or annually as chosen at checkout, to the payment card on file, and are stated in US dollars. Plans renew automatically for the same term until canceled. Prices for your current term will not change; we may change prices for a renewal term by giving at least 30 days' notice by email to your admins before the renewal date. Fees exclude taxes; where we are required to collect sales tax, VAT, GST or similar taxes, they are added at checkout or on your invoice. If you provide a business tax ID, you are responsible for its accuracy.

4 Usage balance

In addition to plan fees, running workflows, agents and other Platform features consumes a prepaid usage balance held by your organization in US dollars. Each run is priced in dollars and deducted from the balance. Our run prices reflect the AI model, compute, data processing, third-party service and other operational costs of providing the run, and may change without notice as those underlying costs change. The balance is shared by all members of the organization. Admins may set monthly usage limits per member and for the whole organization.

5 Welcome credit

Each paid seat may receive a one-time welcome credit when the first payment for that seat succeeds. The amount of the welcome credit and the period for which it is valid are those published at https://www.redbird.io/get-started/ at the time of your purchase, and are shown in your Billing settings when the credit is granted. We may change or withdraw the welcome credit for future purchases at any time. Welcome credit expires at the end of its validity period, has no cash value, cannot be withdrawn, transferred or refunded, and is not granted again for a seat that is removed and re-added.

6 Adding funds and auto-reload

Admins may add funds to the balance in the amounts, and subject to the minimum, shown in your Billing settings at the time of purchase. Added funds are valid for the period shown at the time of purchase and expire at the end of it. Admins may enable auto-reload, which charges the card on file for a chosen amount whenever the balance falls below a chosen threshold, subject to the limits shown in the Platform. You can turn auto-reload off at any time; charges already made are not refunded. We may decline or cap reloads to protect against fraud.

7 Balance usage, expiry and overdraft

Balance is used in order of expiry, soonest first. Expired balance is removed from your organization and is not restored. If your balance reaches zero, new runs are paused until funds are added. A run already in progress may continue briefly past zero, up to an allowance we set and show in the Platform, after which it is stopped; any negative balance is repaid from the next funds added. Balance is not a deposit or stored-value account and earns no interest.

8 Refunds

Our Refund Policy at https://www.redbird.io/refund-policy/ forms part of these Subscription Terms. In short: plan fees, added funds and auto-reload charges are non-refundable except where the Refund Policy or applicable law provides otherwise; welcome, demo and promotional credit is never refundable.

9 Failed payments and suspension

If a renewal or seat payment fails, we will notify your admins and retry. Your organization remains fully usable for 7 days after the first failure. If payment still fails, the organization becomes read-only: members can view existing work but cannot start runs, add members or add funds, until payment succeeds. If payment is not made after our retries end, the subscription is canceled and section 11 applies. Your existing balance is kept during this period.

10 Cancellation

An admin may cancel the subscription at any time from the billing settings. Cancellation stops future charges; access continues until the end of the paid term. Unused plan fees and unused balance are not refunded on cancellation except as the Refund Policy provides.

11 Data retention after cancellation or expiry

After a subscription ends, a demo expires, or an organization is canceled for non-payment, we keep the organization's data for 60 days so that an admin can export it or reactivate the organization. Reactivating within that period restores the data and any remaining unexpired balance. After 60 days we may delete the organization's data permanently. Backups may persist for a limited further period before being overwritten. An admin may ask us to delete the organization's data sooner by emailing support@redbird.io from an admin's address. We will delete it within 30 days of the request, after which the organization cannot be reactivated and any remaining balance is forfeited. We keep billing, invoice and tax records for as long as the law requires. Requests to delete an individual's personal data are handled as described in our Privacy Policy.

12 Changes to plans and the Platform

We may add, change or remove features, agents, connectors and limits included in a plan. If a change materially reduces what your plan includes during a paid term, we will notify your admins and you may cancel and receive a prorated refund of prepaid plan fees for the remainder of that term.

13 Trial, demo and promotional access

Redbird may, at its discretion, provide trial, demo or promotional access or credit to selected organizations, for example through a code issued by Redbird staff. Such access is free, may be limited in time, users and credit, and may be withdrawn or changed by Redbird at any time. Organizations on trial or demo access cannot add funds. When the access period ends the organization becomes read-only; converting to a paid plan keeps your data and any remaining promotional credit, re-dated to expire 60 days after conversion unless we tell you otherwise. Codes are single-use and non-transferable. Nothing in these Subscription Terms entitles any organization to trial, demo or promotional access.

14 Acceptable use

You will not use the Platform to violate any law or third-party right; to collect, process or upload data you do not have the right to use, including personal data without a lawful basis; to attempt to access other organizations' data; to circumvent usage metering, limits or security controls; or to resell the Platform. You are responsible for the data sources you connect and the credentials you provide, and for ensuring your use of connected third-party services complies with their terms. We may suspend access that we reasonably believe violates this section, with notice where practicable.

15 Customer data

You own the data you upload to or generate with the Platform ("Customer Data"). You grant us the rights needed to host, process and display Customer Data to provide the Platform to you. We process personal data in Customer Data on your behalf as described in the Privacy Policy and, for customers who require one, a Data Processing Addendum available on request at compliance@redbird.io. We will not use Customer Data to train generally available models.

16 Third-party services

The Platform uses third-party AI model providers, payment processors and other services. Their availability and terms are outside our control. Card payments are processed by Stripe; we never store your full card number.

17 Disclaimers and limitation of liability

The Platform is provided "as is". Outputs of AI features may be inaccurate and you are responsible for reviewing them before relying on them. To the fullest extent permitted by law, we disclaim all implied warranties, and our total liability arising out of these Subscription Terms in any 12-month period will not exceed the fees paid by your organization in that period. Neither party is liable for indirect, consequential or special damages.

18 Term, termination and survival

These Subscription Terms apply while your organization exists. Either party may terminate for material breach not cured within 30 days of notice. Sections 7, 8, 11, 15, 17 and 19 survive termination.

19 General

These Subscription Terms are governed by the laws of the State of Delaware without regard to conflict-of-law rules, and the parties submit to the exclusive jurisdiction of the courts located in Delaware, consistent with the Redbird Terms of Use. We may update these Subscription Terms; material changes take effect 30 days after we notify your admins by email or in the Platform, and continued use after that date is acceptance. Enterprise customers are governed by their signed agreement, which prevails over these Subscription Terms. Contact: info@redbird.io.
